Terms of Service

Effective date: February 16, 2026

These Terms of Service (“Terms”) govern your access to and use of the LogicPulse website, content, and cybersecurity consulting services (collectively, the “Services”). By accessing the website or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

For clarity: LogicPulse provides consulting, assessment, and advisory work related to cybersecurity, security posture, risk reduction, and implementation guidance. Unless explicitly agreed in writing, LogicPulse does not provide continuous monitoring, managed security operations, incident response retainers, or legal compliance certification.

1. Definitions

  • Client means the person or entity ordering Services.
  • Deliverables means reports, findings, recommendations, plans, diagrams, or other work product provided by LogicPulse.
  • Scope means the agreed boundaries, systems, environments, time window, and methods for Services.
  • Confidential Information means non-public information disclosed by either party, including credentials, architecture, logs, and business data.

2. Eligibility and Authority

You represent that you are legally able to enter into these Terms. If you act on behalf of a company, you confirm you have authority to bind that company. You are responsible for ensuring that access and permissions you provide for the engagement are lawful and authorized.

3. Services and Scope of Work

Services are delivered based on the Scope agreed in writing (proposal, statement of work, order form, or email confirmation). The Scope may include security audits, vulnerability assessments, infrastructure reviews, policy reviews, hardening recommendations, and implementation support.

Any work outside the Scope is a “Change Request” and may require schedule updates, additional fees, and written approval. LogicPulse is not obligated to perform out-of-scope work unless agreed.

You acknowledge that security testing can only evaluate what is within Scope and available during the engagement. Findings are time-sensitive, and risk levels may change as systems, software, and threat landscapes evolve.

4. Client Responsibilities

  • Provide accurate information, system context, and timely access needed for the Services.
  • Ensure you have rights to authorize assessment of the relevant systems and data.
  • Provide safe testing windows and designate a technical contact for coordination.
  • Maintain backups, change control, and rollback plans as appropriate to your environment.
  • Review Deliverables promptly and communicate questions or concerns within a reasonable time.

If access is delayed, restricted, or inconsistent, LogicPulse may adjust timelines and outcomes. If the engagement becomes impractical due to missing inputs, LogicPulse may pause or close the engagement and invoice for work performed.

5. Security Testing Rules and Limitations

Testing activities may include scanning, manual verification, configuration review, and controlled validation. Unless explicitly agreed, LogicPulse does not perform destructive testing, denial-of-service testing, or actions intended to materially disrupt production systems.

You accept that security testing can carry operational risk (e.g., performance impacts, false positives, service interruptions). LogicPulse applies professional caution, but you remain responsible for operational safeguards appropriate to your environment.

If during an engagement LogicPulse encounters evidence of active compromise or high-risk exposure, LogicPulse may notify the Client and recommend containment steps. Incident response actions are not included unless separately agreed.

6. Deliverables and Use

Deliverables are provided for internal security improvement. You may share Deliverables with your internal teams, auditors, and professional advisors. Public disclosure (marketing, press, social, or publication) requires prior written approval from LogicPulse, except where disclosure is required by law.

Deliverables are not a warranty of security. No assessment can guarantee the absence of vulnerabilities or future incidents. Recommendations are based on information available at the time of the engagement.

7. Fees, Invoicing, and Payment

Fees and payment terms are defined in the relevant proposal or order. Unless stated otherwise, invoices are due upon receipt or within the period stated on the invoice. Late payments may result in pausing Services until the account is current.

You are responsible for taxes and charges imposed by authorities, except taxes on LogicPulse’s income.

8. Intellectual Property

LogicPulse retains ownership of its pre-existing methods, templates, tooling, frameworks, and know-how. Upon full payment, you receive a non-exclusive right to use the Deliverables internally for your security program. This does not include resale of Deliverables as a standalone product.

9. Confidentiality

Each party agrees to protect the other’s Confidential Information using reasonable safeguards and to use it only for performing or receiving Services. Confidentiality obligations do not apply to information that is publicly available through no breach, independently developed, or lawfully obtained from a third party.

You should avoid sharing unnecessary personal data. If the engagement requires handling sensitive information, both parties should align on secure transmission, storage, and access controls.

10. Warranties and Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, LogicPulse disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

LogicPulse does not warrant that the Services will identify every vulnerability, that Deliverables will meet all regulatory requirements, or that your systems will be free from security incidents.

11. Limitation of Liability

To the maximum extent permitted by law, LogicPulse shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption.

To the maximum extent permitted by law, LogicPulse’s total liability for any claim related to the Services shall not exceed the fees paid by the Client for the specific Services giving rise to the claim during the three (3) months preceding the event.

12. Suspension and Termination

LogicPulse may suspend or terminate Services if: (a) Client breaches these Terms, (b) payment is overdue, (c) requested activities are unlawful or unauthorized, or (d) Client’s actions create undue risk to systems, personnel, or third parties.

Either party may terminate an engagement with written notice if the other party materially breaches and fails to cure within a reasonable period. Upon termination, Client will pay for work performed up to the termination date.

13. Changes to These Terms

LogicPulse may update these Terms from time to time. Updated Terms will be posted on the site with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance.

14. Governing Principles

These Terms are intended to be interpreted in a commercially reasonable manner that supports secure and lawful delivery of cybersecurity consulting services. If any provision is held unenforceable, the remaining provisions remain in effect.
